1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Gx Chatbot, operated by Wong Guo Xiang (SSM Registration No: 202403246859 / 003648372-T) ("Company", "we", "us"), governing your use of our WhatsApp automation and AI chatbot services ("Services").
By subscribing to or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
2. Description of Services
Gx Chatbot provides:
- AI-powered WhatsApp chatbot automation
- Custom knowledge base setup and configuration
- Multilingual support (English, Bahasa Malaysia, Mandarin Chinese)
- Web-based admin panel for conversation monitoring
- Human handoff capabilities
- Ongoing maintenance and support as per your subscription tier
Service features and limitations vary by subscription tier (Starter, Growth Partner, Empire Builder). Please refer to our Pricing page for detailed feature comparisons.
3. Subscription and Payment
3.1 Fees
- Setup Fee: One-time payment due before service activation
- Monthly Fee: Recurring payment due on the same date each month
- All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated
3.2 Payment Terms
- Payment is due within 7 days of invoice date
- We accept bank transfer, online banking, and other methods as communicated
- Late payments may result in service suspension after 14 days
3.3 Founding 50 Members
Clients who join as Founding 50 members are entitled to locked monthly pricing for the lifetime of their continuous subscription. This benefit is forfeited if the subscription is cancelled and later reactivated.
4. Refund Policy
4.1 Setup Fee
The setup fee is non-refundable once work has commenced on your chatbot configuration. If you cancel before any work begins, a full refund will be provided.
4.2 Monthly Subscription
- Monthly fees are non-refundable for partial months
- You may cancel at any time; service continues until the end of the billing period
- No refunds for unused portions of the subscription period
4.3 Service Issues
If our Services fail to perform as described due to issues on our end, we will work to resolve the issue promptly. In cases of extended downtime (exceeding 72 hours) caused by us, we may provide pro-rata credits at our discretion.
5. Client Responsibilities
You agree to:
- Provide accurate and complete business information for knowledge base setup
- Maintain valid WhatsApp Business account(s) in good standing
- Comply with WhatsApp's Terms of Service and Business Policy
- Not use our Services for spam, harassment, or illegal activities
- Keep your account credentials secure and confidential
- Promptly notify us of any unauthorized use of your account
- Ensure your business operations comply with Malaysian laws
6. Acceptable Use Policy
You must not use our Services to:
- Send unsolicited messages (spam) or bulk marketing without consent
- Harass, abuse, or harm others
- Distribute malware or engage in phishing
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Impersonate others or misrepresent your identity
- Attempt to bypass WhatsApp's anti-spam measures
- Use the service for any illegal or fraudulent activities
Violation of this policy may result in immediate termination of your account without refund.
7. WhatsApp Account Disclaimer
Important: Please read this section carefully.
- WhatsApp accounts are governed by Meta/WhatsApp's policies, which are outside our control
- While we implement smart protection measures (rate limiting, typing simulation, human-like delays), we cannot guarantee immunity from WhatsApp restrictions or bans
- We are not responsible for any WhatsApp account suspensions, restrictions, or bans that may occur
- You acknowledge that using automation with WhatsApp carries inherent risks
- Account issues caused by client misuse or policy violations are not covered by our support
8. Intellectual Property
8.1 Our Property
The Gx Chatbot platform, software, website, and all related intellectual property remain our exclusive property. Your subscription grants you a limited, non-exclusive license to use the Services.
8.2 Your Content
You retain ownership of your business content, knowledge base information, and conversation data. You grant us a license to use this content solely to provide the Services.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Our total liability shall not exceed the amount paid by you in the 3 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for lost profits, lost revenue, or lost business opportunities
- We are not liable for any damages arising from WhatsApp account restrictions or third-party services
10. Service Availability
We strive to maintain 99% uptime for our Services. However:
- Services may be temporarily unavailable for maintenance (we will provide advance notice when possible)
- We are not responsible for downtime caused by WhatsApp, internet providers, or other third parties
- Force majeure events may affect service availability
11. Termination
11.1 By You
You may cancel your subscription at any time by contacting us. Your service will continue until the end of the current billing period.
11.2 By Us
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activities that harm our Services or other users.
11.3 Effect of Termination
Upon termination, your access to the Services will cease. We will retain your data for 30 days, after which it will be deleted. You may request a data export before termination.
12. Governing Law
These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through our website. Continued use of the Services after changes constitutes acceptance of the modified Terms.
